Affiliate terms

1. Joining the program

By registering to participate in the Crystalign Spine Affiliate Program through Crystalign's nominated affiliate platform, you confirm that you have read, understood and agree to be bound by these Terms.

If an individual registers on behalf of a company, business or other entity, they confirm that they have authority to bind that entity to these Terms.

Your registration details and participation in the Affiliate Program may be recorded by Crystalign or its nominated affiliate platform as evidence that you agreed to these Terms.

Create your profile through the Crystalign Spine Tolt partner portal and keep your account and payment details accurate. There is no separate affiliate joining fee. An active paid Align or Ascend subscription is required to earn commission. Participation does not guarantee referrals or earnings.

You are responsible for your account activity and keeping your login details secure.

2. Participation and eligibility

Crystalign operates the Crystalign Spine platform and subscription service. Affiliates participate on a non-exclusive basis using an approved referral link, code or other recognised tracking method. Participation does not give you exclusive territory, customers or marketing rights.

To earn commissions, you must maintain an active paid Crystalign Spine Align or Ascend subscription. If your subscription is cancelled, suspended, expires or otherwise becomes inactive, commission stops accruing from the date it becomes inactive.

No commission is payable for subscription payments received while you are ineligible. If you restore an eligible subscription, commission may resume from reactivation for qualifying subscribers who remain active and attributed to you. No commission is payable retrospectively for an ineligible period. An unpaid trial does not satisfy the active paid subscription requirement.

3. Qualifying referrals and tracking

A qualifying referral is a new Crystalign Spine member who joins through your approved referral link, code or another tracking method recognised by Crystalign and starts an eligible paid subscription. An existing Crystalign Spine member or subscription cannot be transferred or reassigned to your affiliate account, and no commission is payable on payments made before a qualifying referral is established.

Both you and the referred member must satisfy the applicable subscription requirements. Visits, free accounts and unpaid trials do not earn commission. Referral attribution is determined by our nominated affiliate platform, currently Tolt, unless there is a clear tracking error.

Check your Tolt portal for the applicable referral attribution window before promoting the program.

Browser settings, blocked cookies or changing devices may affect tracking. Contact us if attribution appears incorrect so it can be reviewed.

• Do not create false, duplicate or fraudulent referrals.
• Do not use your own referral link to earn commission on your own subscription.
• Do not manipulate cookies, tracking systems or referral attribution.
• Do not impersonate Crystalign or present your website, account or business as owned or operated by Crystalign.
• Do not generate transactions primarily to earn commission without a genuine referral.

4. Commissions

The current commission rate for Founding Affiliates is 20% of Net Subscription Revenue received from each qualifying referral.

An Affiliate who joins the Affiliate Program while the 20% commission rate is offered will retain that 20% commission rate for the duration of their participation in the Affiliate Program, provided they continue to satisfy the eligibility requirements in these Terms.

Crystalign may establish different commission rates for Affiliates who join the Affiliate Program in the future.

Your applicable commission rate will be recorded in your partner account or otherwise confirmed by Crystalign.

Net Subscription Revenue means subscription revenue actually received by Crystalign, excluding GST or other sales taxes, refunds, chargebacks, credits and amounts cancelled, reversed or not successfully collected. Where a discount applies, commission is calculated on the discounted amount actually paid, with those exclusions.

Commission recurs on qualifying subscription payments while the referred member's eligible subscription remains active and attributed to you, you maintain your own eligible paid subscription, and your affiliate participation remains active.

5. Payouts and adjustments

Eligible commissions are processed through our nominated affiliate payment platform in accordance with the payout schedule, minimum payout threshold and payment methods displayed through that platform.

Keep your payment and verification details accurate. Incorrect or incomplete information may delay payment. Check your portal for processing requirements, payout currency and applicable provider fees. You are responsible for taxes and reporting obligations applying to your affiliate income.

Unpaid, failed, refunded, reversed, charged-back or fraudulent transactions do not qualify for commission. If the related commission has already been paid, Crystalign may deduct that amount from future commission payments. Adjustments must relate to the affected transactions.

6. Responsible promotion

You may promote Crystalign Spine through your website, social media, email, personal recommendations and other lawful channels. Clearly disclose your commercial relationship alongside your recommendation wherever required by law or where an audience could reasonably believe your endorsement is independent.

• Represent Crystalign Spine honestly and accurately using statements consistent with information provided or approved by Crystalign.
• Do not make false, misleading or deceptive statements or guarantee health, therapeutic, emotional, financial or other outcomes.
• Do not claim that Crystalign Spine diagnoses, treats, prevents or cures a disease or medical condition unless expressly authorised by Crystalign and legally permitted.
• Keep pricing, promotions and subscription information accurate and current.
• Distinguish personal experiences and views from claims made by Crystalign.
• Do not use fabricated testimonials, impersonation or unauthorised content.
• Comply with applicable advertising, consumer protection, privacy, spam, direct marketing and platform requirements. Do not send commercial messages or use customer information unlawfully.

Crystalign may require you to promptly amend or remove promotional content it reasonably believes is inaccurate, misleading, unlawful or inconsistent with its brand.

7. Branding and intellectual property

Intellectual property rights in Crystalign Spine and its branding, logos, graphics, software, written content, educational materials, processes and methodologies, vertebral consciousness mapping, questions, exercises and processes remain with Crystalign or their respective owners and licensors. Participation in the Affiliate Program does not transfer any ownership of Crystalign intellectual property to the Affiliate.

Crystalign grants you a limited, non-exclusive, non-transferable and revocable permission to use approved names, logos and promotional materials solely for participation in the affiliate program.

• Do not alter branding without approval.
• Do not register a business name, trade mark, domain, social media account or other identifier using Crystalign, Crystalign Spine or a confusingly similar name without written permission.
• Do not copy, reproduce, sell or distribute materials except as expressly permitted.
• Do not represent that you own Crystalign intellectual property.

8. Independent relationship and customers

Referred members are customers of Crystalign for their Crystalign Spine subscriptions. Crystalign sets prices, subscription terms, billing arrangements and platform access. You cannot enter contracts, vary subscription terms, issue refunds or make commitments on Crystalign's behalf.

You operate independently. Participation does not create employment, partnership, joint venture, agency or franchise. You are responsible for your promotional activities, business expenses, tax obligations, registrations, appropriate insurance and compliance obligations.

9. Confidentiality, privacy and Tolt

Each party must protect confidential information received from the other and use it only for program purposes. This does not prevent disclosure required by law or apply to information lawfully public, independently developed or lawfully obtained without a confidentiality restriction.

Collect, store, disclose and use personal information only lawfully and for a legitimate program purpose. Do not publish customer information or collect sensitive personal or health information on Crystalign's behalf. Crystalign need not provide subscriber information beyond what is reasonably required to administer commissions.

Tolt provides our partner portal, referral reporting and payout management. Its applicable terms and privacy information govern your use of its services. Read our Privacy Policy for information about Crystalign Spine's use of personal information and tracking.

10. Termination and program closure

Your participation begins when registration is accepted. Either you or Crystalign may terminate it with 30 days' written notice. You may stop promoting at any time, but participation and commission eligibility remain subject to these terms until termination takes effect.

Crystalign may suspend or terminate participation immediately for fraud, referral manipulation, a material breach of these terms, misuse of intellectual property, misleading or unlawful claims, unauthorised representations, unlawful marketing, or conduct reasonably likely to cause material reputational harm.

Commissions connected to suspected misuse may be held while the activity is reviewed. Contact us if you believe a decision is incorrect. On termination, stop using approved promotional materials and presenting yourself as a current affiliate.

Entitlement to future recurring commissions ends on the termination date. Valid commissions accrued before that date remain payable under these terms, including the payout threshold and applicable refunds, chargebacks, reversals and fraud adjustments.

Crystalign may discontinue the program as a whole with at least 60 days' written notice. Commissions cease at the end of that notice period, while valid commissions already accrued remain subject to the payout provisions.

11. Changes to the program

Crystalign will give at least 30 days' notice of material changes to these Terms or other commercial terms of the Affiliate Program.

A change to the commission rate offered to future Affiliates will not reduce the commission rate already allocated to an existing Affiliate.

Crystalign may introduce different commission rates, structures or affiliate groups for people joining the Affiliate Program in the future.

Changes do not retrospectively remove valid commissions already earned.

Administrative or technical changes that do not materially reduce your rights may take effect immediately. If you do not accept another material change to these Terms, you may notify us and end participation before it takes effect. Continued participation after the effective date constitutes acceptance of the amended Terms.

12. Responsibility for losses and statutory rights

To the extent permitted by law, you must compensate Crystalign for reasonable losses, liabilities or costs arising directly from your material breach, unlawful or misleading promotional activity, unauthorised representations, or infringement caused by materials you independently create or supply. This applies only to the extent you caused or contributed to the loss and does not require you to compensate Crystalign for the portion caused by Crystalign or others.

Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded.

13. General terms

You must not transfer your rights under these terms without Crystalign's prior written consent. These terms contain the agreement concerning the affiliate program and replace earlier discussions or representations concerning affiliate commissions, except where otherwise agreed in writing and subject to rights that cannot lawfully be excluded.

If a provision is unenforceable, the remaining provisions continue to apply. These terms are governed by Queensland, Australia law. The parties submit to the jurisdiction of Queensland courts and courts entitled to hear appeals from them, subject to applicable mandatory rights.

These terms may be accepted electronically as described in section 1. Retain a copy of the terms that applied when you joined and any subsequent amendments notified to you.
